RelaxClubs — Terms of Service

These Terms of Service ("Terms") govern your use of RelaxClubs.com (the "Platform"), operated by RelaxClubs.com ("RelaxClubs," "we," "us," or "our"). By accessing or using the Platform, you agree to these Terms. Governing language: English. Any translation is provided for convenience; in case of conflict, the English version governs.

1. About RelaxClubs

RelaxClubs operates RelaxClubs.com, an online marketplace that connects customers ("you" or "Customers") with independent relaxation and wellness venues in multiple cities — including spas, massage studios, saunas, hot springs and soaking venues, yoga and meditation studios, facial and skin care studios, and cold plunge facilities (each a "Merchant" or "Venue").

RelaxClubs is a marketplace, not a service provider. We facilitate discovery, booking, and payment processing. The wellness services themselves are provided solely by the Merchant. Your contract for services is with the Merchant; RelaxClubs is not a party to that service contract except as the booking and payment facilitator described in these Terms.

2. Eligibility

You must be at least 18 years old to create an account or make a booking. By using the Platform, you represent that you meet this requirement.

3. Accounts

You are responsible for the accuracy of the information you provide and for keeping your account credentials secure.
You are responsible for all activity under your account. Notify us promptly of any unauthorized use.
One account per person; accounts are non-transferable.
Booking through the Platform may require your name, email address, and phone number so the Merchant can confirm and manage your visit.

4. Bookings and Payments

Pricing. Service prices are set by the Merchant and displayed at checkout. The price shown at checkout is the total price for the service, except for taxes or gratuities where expressly noted.
How payment works. Payments are processed by Stripe. For Merchants onboarded to Stripe Connect, your payment is charged directly to the Merchant's Stripe account (a "Direct Charge"), and RelaxClubs collects an application fee (our commission) as part of that transaction. RelaxClubs does not hold your payment. Where a Merchant has not completed Stripe Connect onboarding, online payment for that Merchant may be unavailable.
Card data. Your payment card information is collected and processed by Stripe. RelaxClubs does not receive or store your full card number.
Authorization. By confirming a booking, you authorize the applicable charge to your selected payment method.
No-shows. If you do not show up for a confirmed booking, the booking is treated as completed for payment purposes (see Section 5).
Chargebacks. If you initiate a chargeback or payment dispute with your bank, the underlying booking remains subject to Section 5, and the dispute is resolved between you, the Merchant as the charge recipient, and the payment networks in accordance with their rules.

5. Cancellation and Refund Policy

The Platform's cancellation policy is set by RelaxClubs and applies platform-wide to every booking, in place of any different policy a Merchant may state elsewhere:

Cancel at least 24 hours before your appointment start time: full refund, including the platform application fee.
Cancel less than 24 hours before your appointment start time, no-show, or cancel after the service has begun or been completed: no refund.
Merchant cancels or fails to honor a confirmed booking: full refund.

Refunds are issued to your original payment method. Timing depends on your bank or card issuer (typically 5–10 business days after the refund is processed).

To cancel, use your booking confirmation page or contact us with your booking reference.

6. Rescheduling

Rescheduling is subject to the Merchant's availability. Contact the Merchant directly; if you cannot reach them, contact us and we will assist. A rescheduled booking remains subject to Section 5, measured from the appointment time in effect when you request the change.

7. Health and Safety

Wellness services — including massage, sauna, hot springs and soaking, cold plunge and contrast therapy, and facial treatments — may not be suitable for everyone, including persons who are pregnant, have injuries, cardiovascular or respiratory conditions, skin conditions, or other medical concerns. Consult your physician before booking if you have any doubt. You participate at your own risk and must inform the Merchant of any relevant health conditions before the service begins. RelaxClubs is not responsible for the health outcomes of services provided by Merchants.

8. Acceptable Use — Zero Tolerance

RelaxClubs is for lawful wellness services only. You agree not to:

Request, solicit, or offer any illegal services, including sexual services;
Harass, threaten, or endanger Merchants, their staff, or other users;
Submit false reviews or manipulate ratings;
Use the Platform for any unlawful purpose.

A violation results in immediate account suspension or termination, and we will cooperate with law enforcement where required.

9. Reviews

Reviews must reflect your genuine experience from a completed visit. Fake, incentivized, defamatory, or off-topic reviews are prohibited.
Merchants may review and moderate reviews of their own venue in accordance with our content policies, and may respond to reviews publicly. Merchants may not alter the content of a review.
We may remove reviews that violate these Terms or our content policies.

10. Our Vetting of Merchants

We take reasonable steps to vet Merchants — including review of business registration documents, license checks, and compliance screening — but we do not guarantee any Merchant's service quality, availability, licensure status at all times, or legal compliance. Vetting reduces risk; it does not eliminate it. Always exercise your own judgment.

11. Intellectual Property

All Platform content (design, text, logos, software) is owned by RelaxClubs or its licensors. You receive a limited, non-exclusive, non-transferable license to use the Platform for personal, non-commercial purposes. Venue photos and descriptions are provided by Merchants, who remain responsible for their accuracy and for holding the rights to use them.

12. Disclaimers

The Platform is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including regarding uninterrupted availability, accuracy of listings, and Merchant conduct or services.

13. Limitation of Liability

To the maximum extent permitted by law, RelaxClubs' total liability for any claim arising from your use of the Platform is limited to the amounts you paid through the Platform in the 12 months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages. Nothing in these Terms limits liability that cannot be limited by law.

14. Indemnification

You agree to indemnify and hold harmless RelaxClubs and its officers, employees, and agents from claims, damages, and expenses arising from your misuse of the Platform, your violation of these Terms, or your violation of any law.

15. Dispute Resolution; Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.
Informal resolution first: contact us at the address in Section 18; we will attempt to resolve disputes within 30 days.
If unresolved, disputes shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, in Los Angeles County, California. You waive the right to a jury trial and to participate in class actions, to the extent permitted by law. Either party may still seek relief in small-claims court for qualifying claims.

16. Changes to These Terms

We may update these Terms. Material changes will be notified via the Platform or by email at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the updated Terms.

17. Termination

We may suspend or terminate your account for violation of these Terms. You may close your account at any time; confirmed future bookings remain subject to Section 5.
